These Terms & Conditions ("Terms") govern your access to and use of the GradingMaster software, website, and related services ("Software" or "Service"). Please read them carefully. By subscribing to, activating, or using the Software you agree to these Terms.

1. Who we are

The Service is provided by GRADINGMASTER LTD, a company registered in England and Wales under company number 17438283, with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX ("GradingMaster", "we", "us", "our"). You can contact us at support@gradingmaster.com.

2. The Software

GradingMaster is a professional terrain‑grading and paving‑setout tool that runs as a plug‑in inside Autodesk AutoCAD, Autodesk Revit, and Trimble SketchUp. Features and included platforms are described on our website and may be improved or changed over time. The Software processes your drawings locally within your host application; we do not receive your project files.

3. Subscriptions, billing and renewals

GradingMaster is sold as an annual subscription in the plans shown on our pricing page (currently Personal and Company). Your subscription grants the number of machines/seats stated for your plan for the paid term.

4. Licence

Your right to install and use the Software is granted under our End User Licence Agreement (EULA), which forms part of these Terms. In summary, we grant you a non‑exclusive, non‑transferable licence to use the Software on the number of machines permitted by your plan, for so long as your subscription is active.

5. Acceptable use

You agree not to: share, resell, sublicense or transfer your licence key beyond the limits of your plan; circumvent, disable or tamper with licensing, activation or security features; reverse engineer, decompile or attempt to extract the Software's source or embedded resources except to the extent this restriction is prohibited by law; or use the Software unlawfully. Licence keys and activations are monitored to enforce plan limits and prevent misuse.

6. Free trial

We may offer a time‑limited free trial (currently 14 days) so you can evaluate the Software before purchasing. Trials are provided "as is" and one trial is available per machine.

7. Intellectual property

The Software, website, and all related intellectual property are and remain owned by GradingMaster and its licensors. Nothing in these Terms transfers any ownership to you. The geometry and drawings you create using the Software are yours.

8. Support and availability

We provide support by email, and priority support on the Company plan, as described on our website. We aim to keep the licensing service available but do not guarantee uninterrupted operation; the Software is designed to keep working offline within your paid term between licence checks.

9. Warranties and disclaimers

We provide the Software with reasonable skill and care. Except as expressly stated and to the fullest extent permitted by law, the Software is provided "as is" without further warranties of any kind, including fitness for a particular purpose. You are responsible for reviewing and verifying all levels, contours, slopes, quantities and other outputs before relying on them for design, construction or any other purpose. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Limitation of liability

To the fullest extent permitted by law, GradingMaster will not be liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data, or goodwill. Our total liability arising out of or in connection with the Service in any 12‑month period will not exceed the fees you paid us for the Service in that period. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.

11. Refunds and cancellation

Refunds are governed by our Refund Policy, which forms part of these Terms.

12. Termination

You may stop using the Software and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms or the EULA, or where required by law. On termination your right to use the Software ends.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where appropriate, notify you. Continued use after the changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that if you are a consumer you may benefit from mandatory protections of the country in which you live.
